LEGAL INFORMATION
General Terms and Conditions for Services
1. Scope of application
The services offered through this website are aimed exclusively at businesses and professionals acting within the scope of their business or professional activity, and not at consumers within the meaning of Article 3 of the Texto Refundido de la Ley General para la Defensa de los Consumidores y Usuarios (Consolidated Text of the General Law for the Protection of Consumers and Users). Therefore, the prices shown do not include taxes.
Notwithstanding the foregoing, if the contracting party exceptionally qualifies as a consumer (art. 3 TRLGDCU), they will have a period of fourteen (14) calendar days to withdraw from the contract, in accordance with Article 71 TRLGDCU.
2. Pricing, invoicing and transparency
The client accepts the fees and rates detailed in the corresponding service proposal or quote, as well as the exclusions published at www.contaldia.com/faq in the version in force on the date of contracting. The provision of services is limited to the areas and items expressly contracted and invoiced; if the client stops paying the fee corresponding to a given area, Contaldia will not be obliged to provide the services associated with that area, nor will it assume any liability arising from the lack of such services.
Contaldia periodically reviews its rates. In the event of any upward adjustment, the client will be notified at least 30 calendar days in advance, so that they have enough time to evaluate the new terms before their next billing cycle. Continued use of the service after that period will imply acceptance of the new terms.
3. Minimum term, early termination and penalty
The service agreement will have a mandatory minimum term of twelve (12) months from the effective start of the services. If the client unilaterally terminates the agreement before the end of that period, for reasons not attributable to Contaldia, they must pay, as agreed compensation for damages (art. 1152 CC), an amount equal to 50% of the fees corresponding to the services still to be provided until the end of the minimum term, calculated on the monthly fee in force at the time of termination.
This penalty is payable immediately and may be included in the last invoice issued, and Contaldia may offset its amount against any outstanding amounts owed to it. Non-payment of two or more installments entitles Contaldia to terminate the contract immediately, without prejudice to the claim for the amounts due and, where applicable, the penalty provided for herein. Early termination shall not, under any circumstances, entitle the client to a refund of amounts already paid for services rendered. The penalty shall not apply where termination is due to a serious and proven breach by Contaldia.
Once the minimum commitment period has ended, either party may terminate the contract by written notice given at least 30 calendar days before the expiration or renewal date.
4. Suspension and cancellation by Contaldia
Contaldia may suspend or terminate access to the service in the event of a serious breach of these terms by the client—in particular, non-payment or repeated failure to provide the information necessary for the proper delivery of the service—by prior written notice. Outside these cases, Contaldia may not unilaterally suspend or cancel the service during the commitment period.
5. Support hour packages
Functional support hour packages expire 6 months after purchase, unless otherwise agreed in writing. Travel is not included in the hour package: the client will be charged for the transportation, accommodation and subsistence costs necessary for on-site delivery of the service, as well as travel time, which will be counted at 50% of the current hourly rate.
6. Tax filing
Contaldia will prepare and file the contracted taxes provided that, in the month of filing, the client has their corresponding fee up to date and has no invoice pending settlement. If there is a risk of non-filing for this reason, Contaldia will notify the client with reasonable advance notice before the corresponding tax deadline expires.
7. Governing law and jurisdiction
These General Terms and Conditions are governed by Spanish law. For the resolution of any dispute arising from the contracting of services, the parties submit to the Courts and Tribunals of Barcelona.
